Delimobil holding company files registration documents for IPO on NYSE

MOSCOW. Oct 11 (Interfax) - Holding company Delimobil Holding S.A., which unites carsharing projects Delimobil and Anytime Prime, has filed documents with the U.S. Securities and Exchange Commission for an IPO on the New York Stock Exchange, the company said in a statement.

Within the IPO, American depositary receipts (ADRs) will be placed for shares of Delimobil and will be traded on the NYSE under the ticket DMOB, the company said.

The final parameters of the placement, such as the number of shares and the price range have not yet been determined, the statement said.

The joint bookrunners of the offering are BofA Securities, Citigroup Global Markets, and VTB Capital, as well as Renaissance Securities, Sber CIB and Banco Santander S.A.

Delimobil has been in operation since 2015, and the service is currently available in 11 Russian cities. A subscription car rental service is being developed in Russia under the Anytime Prime brand. The projects are united in the holding company Delimobil Holding S.A.

Delimobil has a total fleet of almost 18,000 cars. The number of registered users is 7.1 million.

Vincenzo Trani, founder and president of Mikro Kapital Group, told Interfax in April 2020 that Delimobil could hold an IPO at the end of 2021. The fund, in turn, is the beneficiary owner of Delimobil Holding S.A.

The forthcoming deal envisaged a pre-IPO round of financing in order to bring the company to the exchange with an investor.

In the summer of 2021, VTB Capital bought a minority stake in Delimobil Holding S.A. for $75 million. VTB Nevsky Property Finance Ltd. owns 13.39% of Delimobil Holding S.A., according to its prospectus.

According to SPARK-Interfax, the Luxembourg-based Delimobil Holding S.A. owns 100% of Carsharing Russia LLC (Delimobil brand) and 100% of Enitime LLC, as well as 100% of Smart Mobility Management LLC (specializing in car maintenance).

According to estimates by the Department of Transport of Moscow (statistics are published in its Telegram channel), as of August 2021, Delimobil's share in the capital's market was 44.2% compared with 37.7% for Yandex.Drive and 13.8% for BelkaCar.

Mikro Kapital Group also develops carsharing in foreign markets (Czech Republic, Kazakhstan and Belarus) under the Anytime brand - through D-Mobility Worldwide A.s.
