VK sells 25% of Tochka to Interros for no less than 21.2 bln rubles, buyer will subsequently transfer stake to T-Technologies

MOSCOW. April 16 (Interfax) - Interros has bought 25% of the shares of JSC Tochka from VK and will subsequently transfer this stake to T-Technologies , Interros said in a statement.

The transaction price was no less than 21.2 billion rubles, VK said.

"As we previously announced, T-Technologies plans to consolidate up to 100% of the shares of JSC Tochka, one of the largest digital banks for entrepreneurs in Russia, in order to strengthen the group's position in the B2B segment. Today's event is one of the stages of the transaction to consolidate Tochka Bank, the completion of which is expected at the end of 2026. Prior to this, a number of corporate procedures must be carried out, including determining the parameters of the additional share issue of T through a closed subscription. We will continue to regularly provide the market with information on the progress of the transaction and the realization of synergies," a representative of T-Technologies told Interfax.

Interros said that, as the largest investor in T-Technologies, it supports the group's intention to consolidate up to 100% of Tochka's shares. The holding notes that Tochka Bank will continue to operate under its own license and develop products for entrepreneurs.

VK acquired 25% of the shares of JSC Tochka in Q4 2023 for 11.6 billion rubles. Since acquiring the asset, the group has received dividend income of 4.3 billion rubles.

T-Technologies announced its plans to consolidate up to 100% of the service for entrepreneurs JSC Tochka at the beginning of February 2026. To do this, the group will conduct an additional share issue through a closed subscription in favor of Catalytic People ICLLC (the main owner of Tochka, a joint venture of T-Technologies and Interros) and the group's existing shareholders. A shareholders' meeting of T-Technologies on this issue was scheduled for June 5, 2026.

The valuation of Tochka within the framework of the transaction was to be announced at the end of Q2 2026.

The completion of the additional share issue placement and the closing of the transaction were expected in autumn 2026.

T-Technologies announced in May 2025 that it had gained control of Catalytic People, whose assets include 64% of the Tochka service.

Tochka became part of Interros's assets in the summer of 2023. At that time, a consortium of investors led by Interros acquired 90.01% of Tochka at auctions organized by Trust Bank for 41.5 billion rubles, consolidating 100% of the company. Previously, the consortium, through Catalytic People, controlled 9.99% of Tochka's shares. Among Tochka's shareholders were also VK and 1C.

Tochka is a digital bank that provides a range of financial and non-financial services for entrepreneurs and businesses. The bank operates under its own universal license. The transaction between Trust and the consortium of investors included JSC Tochka and all its subsidiaries, including Tochka Bank.

Interros is also the main shareholder of T-Technologies; after the transaction to integrate Rosbank, it owns 41.4% of this group.
