Togliattiazot to take over operator of Russian section of Togliatti-Odessa ammonia pipeline
SAMARA. Jan 13 (Interfax) - JSC Togliattiazot (TOAZ) will undergo a reorganization by merging Transammiak LLC, which manages the Russian section of the Togliatti-Odessa ammonia pipeline, the ammonia and urea producer said.
The corresponding decision was reached at an extraordinary general shareholders meeting on December 26.
As noted, Transammiak LLC will cease operations as a result of the reorganization.
Unified State Registry of Legal Entities (USRLE) data indicate that Moscow-based Sid-Trade LLC acquired 99.99% of Transammiak LLC's shares in March 2025. Sid-Trade's entire stake in Transammiak is pledged to JSC Khimaktivinvest, which acquired 93.8317% of Transammiak shares at an auction in early 2022 as part of the bankruptcy of Sergei Makhlai, the former head and owner of Togliattiazot. The executive owned the shares through the Cypriot companies Arodoet Enterprises Limited, Kizzie Consulting Limited, Farodot Consulting Limited, Florenta Management Limited, Evanda Holdings Limited, and Entouraga Limited. These shares are recorded and stored in custody accounts at Togliattikhimbank. Meantime, Khimaktivinvest has acquired a controlling stake in Togliattiazot.
Khimaktivinvest's financial statements indicate that it is 100% owned by Uralchem Holding Company.
Sid-Trade LLC was registered in July 2020, with its primary activity listed as providing business services. Yevgeny Baryshkov is the company's owner and director.

Ammonia transit through the Togliatti-Odessa pipeline has been suspended since February 24, 2022. A section of the ammonia pipeline in the Kharkov Region was damaged in June 2023. Transammiak said that the Russian section of the ammonia pipeline was securely isolated from the Ukrainian section and was safe and in good working order under the constant supervision of its services.
