Federal Anti-Monopoly Service approves deal on O'Key hypermarket chain acquisition

MOSCOW. Oct 14 (Interfax) - The Russian Federal Anti-Monopoly Service (FAS) has approved an application by Zemun LLC to acquire a 99% stake in RBF Retail LLC, which is owned by the managers of the O'Key hypermarket chain, the FAS reported.

The FAS previously approved the acquisition of a 99.56% share in O'Key LLC, the legal entity which runs the chain of O'Key hypermarkets.

"Once the deal is complete, the buyer will be granted indirect control over the hypermarket chain," the FAS said in a statement.

Zemun LLC was established in February 2024 and has been owned by Olga Zaporozhets since April 2025, prior to which it belonged to Cosmart Solution LLC.

RBF Retail LLC is indirectly owned by the managers of the hypermarket chain, with a 99% share held by RBF LLC, itself co-owned by hypermarket segment CEO Konstantin Arabidis and other managers, according to data from the Unified State Register of Legal Entities (USRLE).

"The deal is being completed in accordance with the plans discussed previously," the O'Key group's press service told Interfax.

At the end of August 2025, Izvestia newspaper reported, citing sources, that the Lenta retail chain intended to purchase the O'Key hypermarkets . The newspaper's source said that the process of selling the hypermarkets had been "somewhat delayed" as the company waited for the government commission to approve the sale of the hypermarkets to the Russian executives. The company intends to complete the restructuring of the business by the end of 2025.

In late 2024, O'KEY Group S.A. took the decision to sell the business segment of the hypermarkets to its management. It said in a statement that the sale was "in the best interests of the group and all of its shareholders".
