IVA Technologies cofounder Ivenev steps down as chairman, leaves board

MOSCOW. May 27 (Interfax) - IVA Technologies cofounder and major shareholder Nikolai Ivenev is stepping down from his position as chairman of the company and leaving the board of directors, the Russian corporate communications ecosystem developer said in a press release.

"The company is in good shape, with a well-calibrated strategy and strong momentum for growth, including on international markets. This is the moment toward which we steadily travelled for a long time. This is why I can now allow myself to step aside with confidence that the company is in good hands and ready for the next phase of development," Ivenev said in the press release.

The company said Ivenev will remain a shareholder of IVA Technologies, in which he holds a 22.3% stake.

Ivenev plans to work on his own projects. "I plan to focus on investments in socially important technologies in order to develop innovations that will make the everyday lives of millions of people easier, safer and more comfortable. I hope that I will be able to share details in the near future," he said.

The company said the board has already compiled a list of recommended candidates for the position of chairman. The new chairman will be elected at the first board meeting after the annual shareholder meeting, which is scheduled for the end of June.

Shareholders will elect a new board at the meeting. On May 23, the current board recommended shareholders elect company CEO Stanislav Iodkovsky, Andrei Zokin, Yevgeny Terentyev, Sergei Chernykh, Viktor Petrov, Maxim Smirnov, Renata Batyrova, Andrei Manoilo and Pavel Smirnov to the board.

IVA Technologies is a developer of a corporate communications ecosystem with a portfolio of 15 different solutions. The company raised 3.3 billion rubles in an IPO in June 2024, including a stabilization block of shares worth 300 million rubles. Under the deal, the existing shareholders at the time offered investors up to 11 million shares owned by them, which is 11% of the share capital.

The company's authorized capital is 10 million rubles divided into 100 million ordinary shares with par value of 0.1 rubles each. The main shareholders, Nikolai Ivenev, Andrei Zokin, Stanislav Iodkovsky, Yevgeny Terentyev and Sergey Chernykh, own 84.17% of the company's shares, senior management owns 4.83%, and the free float is 11%.
