Structures of Zarubezhneft, Gazprombank become shareholders in Rosatom's wind energy projects
MOSCOW. March 7 (Interfax) - Structures of Zarubezhneft and Gazprombank have become shareholders in Rosatom's wind energy projects, according to reports from VetroOGK-2 and VetroOGK-3, which are part of Rosatom.
Both transactions were completed at the end of December 2024, the reports said.
The shareholder structure of VetroOGK-2 now includes Zarubezhneft's entity, Vysota LLC, while 50% of VetroOGK-3 was acquired by GPB - Vetrogeneratsiya LLC (part of Gazprombank) through an additional share issue. The remaining 50% is held by JSC Rosatom Renewable Energy (formerly NovaWind).
The exact share which Vysota acquired in VetroOGK-2 was not disclosed. It is only known that it exceeds 20%. Additionally, more than 20% is owned by JSC Rosatom Renewable Energy, and another shareholder is JSC AtomCapital.
Zarubezhneft's interest in wind energy became known back in 2023. At that time, its subsidiary ZN Energiya LLC commissioned an assessment of the market value of a company engaged in wind energy projects. The name of the company was not disclosed in the procurement, but based on the description including the year of establishment and the project portfolio size, VetroOGK-2 fit the profile of the assessed entity.
Later, in autumn 2023, NovaWind itself commissioned an assessment of the value of VetroOGK-2 shares, which was to be completed by the end of 2024. The assessment was required for two share packages of 49.5% and 50% each. At that time, the shareholders of VetroOGK-2 were NovaWind with a 49.5% stake, GPB - Vetrogeneratsiya LLC with 49.5% and JSC AtomCapital with 0.99%.
GPB - Vetrogeneratsiya exited the capital of VetroOGK-2 in the spring of 2024. Until 2021, it was a shareholder of VetroOGK (currently, the sole participant is JSC Atomenergoprom).
This therefore marks the third entry of a Gazprombank structure into Rosatom's wind energy projects. In March 2024, during the Atomexpo event, Rosatom Renewable Energy and Gazprombank signed an agreement on cooperation in organizing financing for projects to build wind power plants with a total capacity of 460 MW.
Rosatom Renewable Energy was established in 2017 to consolidate Rosatom's wind energy assets. The company's project portfolio in Russia amounts to approximately 1.7 GW, including the already commissioned 1 GW. Rosatom is also considering a number of wind energy projects abroad, particularly in Kyrgyzstan, Vietnam and Myanmar. The target portfolio of foreign projects is 5 GW of wind farms by 2030, according to Atomenergoprom's 2023 report.
