Surgutneftegas offer price to UTair minority holders 14.41 rubles per share

MOSCOW. Feb 11 (Interfax) - The price of the offer Russian oil and gas company Surgutneftegas is making to buy up shares from minority holders in OJSC UTair Airlines (RTS-TMAT) has been set at 14.41 rubles apiece, a UTair statement says.

UTair is one of Russia's leading aviation companies and one of the world's largest helicopter operators.

The offer Surgutneftegas is making could net it 255,808,131 shares, which would represent 44.32% of the airline's capital.

In January, Surgutneftegas put an offer on the table to buy up 44.32% of UTair shares from its minority shareholders. The company had acquired 55.68% of UTair on December 31.

Russia's Federal Antimonopoly Service (FAS) has given Surgutneftegas the go-ahead to acquire 75.5% of UTair shares.

Central Surgut Depository began the nominal holder of 75.64% of UTair shares back in 2004. Until then, the shares had been held by the authorities of Surgut and Khanty-Mansiisk Autonomous District, which sold them to an outside investor, said unofficially to be associated Surgutneftegas - but that company never officially confirmed it.

Surgutneftegas managers occupy five of the seven seats on the airline's supervisory board.
