Novoship liquidates subsidiary following merger
MOSCOW. June 23 (Interfax) - OJSC Novorossiysk Shipping (Novoship) has liquidated its 100% subsidiary OJSC NovoshipinvestPlus after a merger, Novoship said in a statement.
"The date of the reorganization [filling a note on the cessation of operations with the Unified State Registrar of legal entities following the merger] was June 21," the shipping company said.
Novoship's merger with NovoshipinvestPlus was approved by the companies' shareholders on March 23 and April 4, respectively. The shares in the shipping company held by NovoshipinvestPlus were extinguished. Prior to this, NovoshipinvestPlus held 6.1% of the company's charter capital (6.77% of common shares).
Sovcomflot's chief, Sergei Frank, earlier said that his company plans to consolidate 100% in Novoship before 2012, saying that the consolidation has been proceeding "without any particular difficult or problems".
Novoship is part of the Sovcomflot, one of the biggest shipping firms in the world, which specializes in transporting oil and gas. Novoship's fleet consists of 56 vessels with a combined deadweight of around 4.6 million tonnes and an average age of seven years. The fleet's market value at the end of 2010 came to around $1.9 billion.
