UCP reduces stake in Gazprom Neftekhim Salavat to 18.5%
MOSCOW. March 27 (Interfax) - United Capital Partners (UCP), which is controlled by Ilya Scherbovich, has reduced its stake in Gazprom Neftekhim Salavat to 18.48%, a source familiar with the transaction told Interfax.
UCP became a Gazprom Neftekhim Salavat shareholder in June 2011 when it bought 24.99% of shares. It reduced its stake to 24.33% at the end of 2011.
The Gazprom Neftekhim Salavat list of affiliated entitites shows that Gazprom Pererabotka owned 63.688% of the company's shares at the end of the year.
The source said that on November 3 UCP initiated an extraordinary Gazprom Neftekhim Salavat shareholders meeting to try and get three of its representatives elected to the board - Scherbovich, Mikhail Trofimov and Anton Kabachinsky. However, the meeting was not valid due to a lack of quorum. The source said Gazprom representatives thus attempted to prevent the minority shareholder representatives from joining the board. However, he said he was sure the minority shareholder candidates could be elected to the board at the Gazprom Neftekhim Salavat AGM.
The board of Russian Gazprom Neftekhim Salavat has already compiled a list of 11 candidates for election to the nine-member board at the AGM. There are three Gazprom representatives: First Deputy Management Committee Administration Head and Internal Audit Department Head Dmitry Arkhipov, Deputy Management Committee Chairman and Management Committee Administration Head Mikhail Sereda and Marketing, Gas and Liquid Hydrocarbons Processing Department Head Kirill Seleznev. The list also includes Gazprom Neftekhim Salavat CEO Damir Shavaleyev, Gazprom Pererabotka CEO Yuri Vazhenin, Lider CEO Anatoly Gavrilenko, Deputy Marketing, Gas and Liquid Hydrocarbons Processing Department Head and Industrial Product Marketing Head Marat Garayev, Gazprom Dobycha Orenburg CEO Sergei Ivanov, Sibur President Dmitry Konov, Gazprom Energo CEO Alexei Mityushov, Gazprom Mezhregiongaz Deputy General Director for Corporate and Property Relations Yelena Mikhailova.
