Sibenergoholding sells 3.3% of TGK-12, halving stake in company

KEMEROVO. April 26 (Interfax) - OJSC Sibenergoholding has reduced its stake in OJSC Kuzbassenergo (TGK-12) to 3.4172% from 6.7422%, the generating company said in a statement.

Sibenergoholding sold 2.35 billion common shares in a deal that closed on April 19. The price and name of the buyer were not disclosed.

TKG-12 officials contacted by Interfax also did not name the buyer.

The market price of TGK-12 shares on April 19, according to the MICEX-RTS exchange, was 0.19498 rubles, the market value of the stake sold was 458.203 million rubles on that day.

TGK-12 has charter capital of 706,759,847 rubles, split into 70,675,984,774 common shares with par value of 0.01 rubles.

Cyprus-based Siberian Energy Investment Ltd owned 66.73% of TGK-12 as of December 31, 2011; VTB Bank AG (Austria) held 10.59%; and Sibenergoholding owned 6.74%, according to the SPARK database. According to the power company's IFRS report for 2011, TGK-12's principal beneficiary was Andrei Melnichenko with control of 57.17% of shares.

TGK-12 has six power plants in Kemerovo Region and three in Altai Territory, with combined installed capacity of 4,500.2 MW and 8,904.5 Gcal.
