TGK-12, TGK-13 set up subsidiaries to spin off generating assets
KEMEROVO. May 2 (Interfax) - OJSC Kuzbassenergo (TGK-12) and Yenisei TGK (TGK-13) have set up subsidiaries to which they plan to transfer their power generating assets, the companies said in statements.
TGK-12 has set up OJSC Kemerovo Generation, which includes the Kemerovskaya GRES and Kemerovskaya TETs power plants; OJSC Novo-Kemerovskaya TETs; OJSC Barnaul Generation, which includes the Barnaulskaya TETs-1 and TETs-2 power plants); OJSC Barnaulskaya TETs-3; OJSC Kuznetskaya TETs; OJSC Kemerovo Heating Company; OJSC Barnaul Heating Company; and OJSC Interregional Heating Company.
TGK-13 set up OJSC Krasnoyarskaya TETs-1; OJSC Nazarovskaya GRES; OJSC Krasnoyarsk Heating Transport Company, which includes Krasnoyarsk Heating Networks; OJSC Krasnoyarskaya TETs-4; OJSC Krasnoyarskaya Electric Boiler House; OJSC Kanskaya TETs; OJSC Yuzhno-Yeniseisk Heating Networks; and OJSC Divnogorsk Heating Networks.
TGK-12 and TGK-13 said they own 100% of the new companies.
It was reported earlier that shareholders voted in favour of the restructuring in early March. "The spin off of generating assets into separate legal entities is part of the companies' strategy to optimize the management system," Sergei Mironosetsky, chief executive of Siberian Generating Company, which manages TGK-12 and TGK-13, told Interfax.
