Otkritie FC to announce buyback offer to Nomos-Bank minority shareholders within 2 weeks - source
MOSCOW. Oct 19 (Interfax) - Otkritie Financial Corporation plans to announce a buyback offer for minority shareholders in Nomos-Bank in the next two weeks, a source close to the corporation told reporters.
Otkritie will offer $14 per GDR (global depositary receipt) in the framework of the offer, he said.
In the near future, Otkritie will conduct a second additional shares issue worth some $1 billion in order to further consolidate Nomos-Bank, the source said. He did not say who would participate in the purchase of the additional issue, noting only that once Nomos-Bank's full consolidation is complete, Otkritie should have the following charter capital break-down: up to 25% of its shares will belong to Vadim Belyayev and the management, and up to 10% will belong to companies affiliated with entities included in the ICT Group, as well as to the VTB Group , Boris Mints, Alexander Mamut and Oleg Malis.
Otkritie is counting on securing Federal Anti-Monopoly Service (FAS) permission to consolidate 100% of Nomos-Bank's stock in the near future, the source said. Besides that, on Monday Ruben Aganbegyan will officially become the chairman of Otkritie. Aganbegyan was invited to the company in order to integrate the businesses of Nomos-Bank and Otkritie.
