Pharmacy 36.6 to place new shares at 15.5 rubles each

MOSCOW. May 21 (Interfax) - PJSC Pharmacy Chain 36.6 in framework of an additional issue, which will take place for the merger with A.v.e Group, will place shares on an open subscription at a price of 15.5 rubles per share, the company said in a statement.

Those who have the pre-emptive right for the acquisition of shares can purchase shares of the pharmacy company at 13.95 rubles per share.

The board of directors of Pharmacy Chain 36.6 at a meeting on May 20 also determined the value of the assets of A.v.e Group, with which part of the additional issue will be paid, at 9.95 billion rubles.

Pharmacy Chain 36.6 plans to place 1.4 billion new shares. It currently has 105 million issued shares. The placement begins on May 21.

The owners of A.v.e Group could receive 713,261,648 new shares for their assets if all new shares are sold, and their stake in Pharmacy Chain 36.6 would fall from 54.97% to 51.2%. But if only shares attributable to the A.v.e. owners are sold, their stake could reach 94.2%.

The Pharmacy Chain 36.6 shareholders approved the new share issue on October 28 last year. The board approved the issue prospectus in December and the Central Bank registered it in January.
